Terms of Service

Welcome to FixedOpsAI. These Terms of Service ("Terms") govern your access to and use of the FixedOpsAI website, application, tools, artificial intelligence features, content, and related services (collectively, the "Service").

The Service is owned and operated by FixedOpsAI LLC, a Washington limited liability company ("FixedOpsAI," "Company," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree to these Terms, you should not access or use the Service.

FixedOpsAI is a software platform designed to assist automotive service professionals with information retrieval, communication, workflow support, customer explanations, service-advisor coaching, repair-related research, documentation assistance, and other automotive fixed-operations tasks.

FixedOpsAI is intended to function as a support and productivity tool. It does not replace the professional judgment of service advisors, technicians, managers, dealerships, manufacturers, or other qualified automotive professionals.

FixedOpsAI utilizes artificial intelligence and other information-processing technologies to generate responses and recommendations.

• AI-generated information may occasionally be incomplete, inaccurate, outdated, or inappropriate for a particular vehicle or situation.
• Users are responsible for independently verifying important automotive information before relying upon it or communicating it to a customer.
• Vehicle specifications, diagnostic information, diagnostic trouble codes, fluid types and capacities, torque specifications, repair procedures, labor information, maintenance recommendations, technical information, and similar information should be verified against appropriate manufacturer information, OEM service information, technical documentation, vehicle-specific data, or other authoritative sources when accuracy is important.
• FixedOpsAI should not be considered a substitute for OEM service information, professional vehicle diagnosis, physical vehicle inspection, manufacturer procedures, technical service information, recalls, safety information, or qualified technician judgment.

FixedOpsAI does not diagnose vehicles and does not guarantee that information generated by the Service will identify the cause of a vehicle condition or result in a successful repair.

Vehicle diagnosis and repair decisions remain the responsibility of the dealership, repair facility, technician, service advisor, or other qualified professional performing or authorizing the work.

Users should follow applicable manufacturer procedures, dealership policies, safety procedures, and professional standards.

FixedOpsAI may generate scripts, repair explanations, approval conversations, text messages, emails, CSI communications, objection-handling suggestions, and other customer-facing content.

These materials are provided as drafting and coaching assistance.

• Users are responsible for reviewing, editing, and approving communications before sending or presenting them to customers.
• FixedOpsAI LLC is not responsible for representations, promises, estimates, pricing, repair recommendations, warranty statements, or other communications made by a dealership, repair facility, employee, or user.

• FixedOpsAI does not determine whether a specific vehicle is safe to operate.
• Nothing generated by FixedOpsAI should be interpreted as a guarantee that a vehicle is safe to drive or continue operating.
• When a condition could involve vehicle safety, users should rely upon appropriate vehicle inspection, qualified technician evaluation, manufacturer procedures, dealership policies, and applicable safety information.

Users agree to use FixedOpsAI responsibly and professionally.

Users are responsible for:

• Reviewing AI-generated responses before relying on them.
• Verifying important technical information.
• Protecting customer and dealership information.
• Following dealership policies and applicable laws.
• Using appropriate professional judgment.
• Maintaining the confidentiality of account credentials.
• Ensuring information entered into FixedOpsAI may lawfully be processed.
• Avoiding unnecessary entry of sensitive personal information.

Users may not use FixedOpsAI for unlawful, fraudulent, abusive, deceptive, or unauthorized purposes.

• Certain FixedOpsAI features may require an account.
• Users are responsible for maintaining accurate account information and protecting their login credentials.
• Users are responsible for activity conducted through their accounts unless prohibited by applicable law.
• FixedOpsAI LLC may suspend or terminate accounts that violate these Terms, misuse the platform, create security risks, or engage in fraudulent or abusive activity.

• Dealerships, dealer groups, repair facilities, and other organizations may provide FixedOpsAI access to employees or authorized users.
• Organizations are responsible for determining who is authorized to use their account and for managing user access.
• Additional agreements, pricing arrangements, beta agreements, enterprise agreements, or other written agreements may apply to dealership or business accounts.
• If a separately executed written agreement between FixedOpsAI LLC and a business customer directly conflicts with these Terms, the executed written agreement will control with respect to that conflict.

• Certain FixedOpsAI features may require a paid subscription.
• Pricing, billing frequency, included features, and subscription terms will be presented before purchase.
• By purchasing a paid subscription, the customer authorizes FixedOpsAI LLC and its payment-processing providers to process applicable charges.
• Unless otherwise stated during purchase or required by law, subscriptions may automatically renew until canceled.
• Users may cancel subscriptions according to the cancellation options provided within FixedOpsAI or through the applicable billing process.
• FixedOpsAI LLC may modify pricing or subscription offerings prospectively with reasonable notice where required.

• FixedOpsAI may rely upon or integrate with third-party technology providers, artificial intelligence providers, payment processors, hosting providers, analytics providers, data sources, or other third-party services.
• FixedOpsAI LLC does not control every third-party service and cannot guarantee uninterrupted availability or accuracy of third-party information.
• Use of third-party services may also be subject to their respective terms and privacy policies.

FixedOpsAI LLC owns or licenses, as applicable, the proprietary components of the FixedOpsAI platform, including its original software, application design, user interface, branding, logos, written content, templates, workflows, prompt structures, processes, organization and presentation of features, training and educational materials, graphics, proprietary methodologies, platform configurations, and other original materials. These materials are protected by applicable intellectual-property laws.

Nothing in these Terms transfers ownership of FixedOpsAI technology or intellectual property to users.

Users receive only a limited, non-exclusive, non-transferable, revocable right to access and use the Service according to these Terms and any applicable business agreement.

Users may use outputs generated for them through FixedOpsAI for legitimate dealership, automotive-service, or business purposes. However, permission to use generated outputs does not grant users ownership of or rights to FixedOpsAI software, source code, system prompts, internal instructions, proprietary workflows, templates, platform architecture, proprietary methodologies, internal processes, algorithms, or other underlying FixedOpsAI technology.

Users may not copy, reproduce, distribute, sell, sublicense, reverse engineer, scrape, systematically extract, republish, clone, imitate, or create unauthorized derivative products from proprietary FixedOpsAI materials except where such restriction is prohibited by applicable law.

FixedOpsAI does not claim ownership over third-party intellectual property or materials merely because they are processed or referenced by the Service.

User Content. Users retain whatever ownership rights they otherwise have in information or content they submit to FixedOpsAI. Users grant FixedOpsAI LLC a limited right to process submitted information as reasonably necessary to provide the requested Service, operate the user's account, maintain platform functionality, provide customer support, protect platform security, and comply with applicable law. This permission does not transfer ownership of the user's underlying content to FixedOpsAI LLC. Users represent that they have the necessary rights or authorization to submit information they provide through the Service and should not submit unnecessary sensitive personal information or information they are not authorized to provide. FixedOpsAI does not own dealership repair orders, customer records, dealership data, or other user-provided business information.

Users may not:

• Attempt to gain unauthorized access to FixedOpsAI systems, data, or accounts.
• Interfere with the security or operation of the Service.
• Circumvent usage restrictions or access controls.
• Use automated systems to scrape or systematically extract proprietary FixedOpsAI content without authorization.
• Attempt to obtain source code, system prompts, or internal instructions through unauthorized means.
• Probe, scan, or test the vulnerability of FixedOpsAI systems without authorization.
• Use automated methods to reproduce or replicate substantial portions of the platform.
• Resell or redistribute access to FixedOpsAI without written authorization.
• Impersonate another person or organization.
• Use the Service for fraudulent, deceptive, abusive, or unlawful activity.
• Use FixedOpsAI to violate the intellectual-property rights or other rights of third parties.

These restrictions do not prohibit legitimate normal use of the platform by dealership employees or authorized users in the ordinary course of their work.

• FixedOpsAI LLC may update, improve, modify, add, or remove features as the platform develops.
• FixedOpsAI LLC does not guarantee that the Service will always operate without interruption, errors, delays, or outages.
• The Company may temporarily restrict access for maintenance, security, technical, legal, or operational reasons.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIXEDOPSAI IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

FIXEDOPSAI LLC MAKES NO GUARANTEE THAT ALL AI-GENERATED INFORMATION WILL BE ACCURATE, COMPLETE, CURRENT, ERROR-FREE, OR APPROPRIATE FOR EVERY VEHICLE, CUSTOMER, REPAIR, OR SITUATION.

USERS ARE RESPONSIBLE FOR APPLYING PROFESSIONAL JUDGMENT AND VERIFYING INFORMATION WHEN APPROPRIATE.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIXEDOPSAI LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO USE OF THE SERVICE.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, DAMAGES ASSOCIATED WITH BUSINESS INTERRUPTION, LOST PROFITS, LOST REVENUE, LOST DATA, CUSTOMER DISPUTES, INCORRECT REPAIR DECISIONS, RELIANCE UPON AI-GENERATED INFORMATION, LOSS ARISING FROM INACCURATE, INCOMPLETE, OR OUTDATED INFORMATION, AND LOSS ASSOCIATED WITH UNAUTHORIZED OR IMPROPER USE OF THE SERVICE.

FixedOpsAI is provided as a support and productivity tool. Users remain responsible for professional judgment, verification of automotive information, customer communications, repair decisions, and compliance with applicable dealership and manufacturer procedures.

Any limitations of liability must be applied only to the extent enforceable under applicable law and do not exclude liability that cannot legally be excluded.

To the extent permitted by applicable law, users and business customers agree to indemnify and hold harmless FixedOpsAI LLC from third-party claims, damages, liabilities, and reasonable expenses arising from misuse of the Service, violation of these Terms, unlawful conduct, or content or representations independently provided by the user to customers or third parties.

• Use of FixedOpsAI is also governed by the FixedOpsAI Privacy Policy.
• The Privacy Policy should be accessible through a clearly labeled Privacy Policy link.
• Users should not submit information they are not authorized to provide or that is unnecessary for use of the Service.

Individual Paid Subscriptions

• Individual users with a paid subscription may cancel their subscription at any time through the cancellation method provided within FixedOpsAI or through the applicable billing process.
• Cancellation will take effect at the end of the user's then-current paid billing period unless otherwise required by applicable law. The user will remain responsible for charges applicable to the current billing period.
• Cancellation does not create a right to a prorated refund or credit for any unused portion of the current billing period, except where required by applicable law.
• After cancellation becomes effective, access to paid features may end or revert to any generally available free level of service then offered by FixedOpsAI.

Dealership, Dealer Group, and Business Accounts

• Dealerships, dealer groups, repair facilities, enterprise customers, and other business accounts seeking to terminate paid service must provide FixedOpsAI LLC with at least thirty (30) days' prior written notice of termination by email to support@fixedopsai.app.
• The business customer remains responsible for all applicable fees and charges incurred through the effective date of termination and for any other payment obligations established under an applicable separately executed agreement.
• The termination will become effective after the required notice period has been satisfied.
• FixedOpsAI LLC may acknowledge receipt of the termination request by email.
• If a separately executed dealership, beta, pilot, enterprise, or other business agreement contains different cancellation or termination requirements, the terms of that separately executed agreement will control with respect to that business account.

Suspension or Termination by FixedOpsAI LLC

FixedOpsAI LLC reserves the right, to the extent permitted by applicable law and any applicable separately executed agreement, to suspend, restrict, or terminate access to the Service when reasonably necessary because of:

• violation of these Terms;
• nonpayment of amounts due;
• fraudulent, unlawful, abusive, or unauthorized activity;
• misuse of the Service;
• attempts to compromise or circumvent platform security or access controls;
• conduct that infringes or threatens FixedOpsAI LLC's intellectual property or proprietary rights;
• conduct that creates a material security, legal, or operational risk to FixedOpsAI LLC, its users, customers, service providers, or third parties; or
• other material breaches of an applicable agreement with FixedOpsAI LLC.

Where reasonably appropriate, FixedOpsAI LLC may provide notice and an opportunity to cure a violation before termination.

However, FixedOpsAI LLC may suspend or terminate access without prior notice when reasonably necessary to address fraud, security threats, unlawful activity, material misuse, nonpayment, or circumstances requiring immediate action.

Termination or suspension does not eliminate payment obligations or other liabilities that accrued before the effective date of termination.

• FixedOpsAI LLC may update these Terms as the Service evolves or as legal, regulatory, security, or operational requirements change.
• The updated Terms should display a revised "Last Updated" date.
• Where required by law or appropriate because of material changes, users should receive notice and/or be required to accept the updated Terms.

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Except where applicable law requires otherwise, any legal action or proceeding arising out of or relating to these Terms or the Service that is not otherwise subject to a separately executed agreement shall be brought in a state or federal court of competent jurisdiction located in the State of Washington, and the parties consent to the jurisdiction of those courts.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

These Terms, together with the Privacy Policy and any applicable separately executed agreement, constitute the agreement governing use of FixedOpsAI unless otherwise expressly agreed in writing by FixedOpsAI LLC.
